Legal terms that govern your use of UmEmployed services.

1. Scope

These Terms & Conditions constitute a legally binding agreement between you and UmEmployed Inc. ("we," "us," or "our") governing your access to and use of the UmEmployed platform, including all associated websites, applications, services, and tools (collectively, the "Service").

The Service is designed to connect job seekers with employers and facilitate the recruitment process. These terms apply to all users of the Service, including job seekers, recruiters, employers, and any other individuals or entities accessing or using our platform.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must immediately cease all use of the Service.

2. Accounts

To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information as prompted by the registration process. You are responsible for maintaining the accuracy and completeness of your account information.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information, or that violate these Terms & Conditions. You may not use anyone else's account at any time without the express permission of the account holder.

3. Payments & billing

Certain aspects of the Service may require payment. Paid plans are billed according to the pricing displayed on our Pricing page. All fees are stated in the applicable currency and are exclusive of any taxes, which you are responsible for paying where required by law.

You authorize UmEmployed to charge all applicable fees to the payment method you provide. We may seek pre-authorization of your payment method prior to your purchase to verify its validity and available funds.

Fees are generally non-refundable except as expressly provided in these terms or as required by applicable law. If you believe you have been charged in error, you must contact us within 30 days of the charge date to request a review and potential refund.

We reserve the right to modify our pricing with 30 days' notice. Continued use of paid services after price changes constitutes acceptance of the new pricing.

4. Suspension & termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason including but not limited to: violation of these Terms & Conditions, unlawful use of the Service, non-payment of fees, or any activity that may harm our platform or other users.

You may terminate your account at any time by following the account closure process in your account settings or by contacting our support team. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms & Conditions which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

5. Governing law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms & Conditions shall be brought exclusively in the federal or state courts located in Wilmington, Delaware.

If you are a consumer residing in the European Union, you may benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms & Conditions affects your rights as a consumer to rely on such mandatory provisions of local law.

7. Intellectual property

The Service and its original content, features, and functionality are owned by UmEmployed Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the Service, except as expressly permitted by these Terms or with our prior written consent.

The UmEmployed name and logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UmEmployed Inc. or its affiliates or licensors. You must not use such marks without our prior written permission.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information when you use our Service. By using the Service, you consent to our collection and use of personal data as outlined in our Privacy Policy.

We implement appropriate technical and organizational measures to protect your personal information. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

9. Liability

To the maximum extent permitted by applicable law, UmEmployed shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

In no event shall UmEmployed's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to UmEmployed in the last six months, or, if greater, one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

10. Changes to terms

We reserve the right, at our sole discretion, to modify or replace these Terms & Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

BY USING THE SERVICE OR ACCESSING THE UMEMPLOYED PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS & CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE OR ACCESS THE UMEMPLOYED SERVICE.
